Acceptance

By using the software, you agree to all of the terms and conditions below.

Copyright License

The licensor grants you a non-exclusive, royalty-free, worldwide,
non-sublicensable, non-transferable license to use, copy, distribute, make
available, and prepare derivative works of the software, in each case subject to
the limitations and conditions below.

Limitations

You may not provide the software to third parties as a hosted or managed
service, where the service provides users with access to any substantial set of
the features or functionality of the software.

You may not move, change, disable, or circumvent the license key functionality
in the software, and you may not remove or obscure any functionality in the
software that is protected by the license key.

You may not alter, remove, or obscure any licensing, copyright, or other notices
of the licensor in the software. Any use of the licensor’s trademarks is subject
to applicable law.

Patents

The licensor grants you a license, under any patent claims the licensor can
license, or becomes able to license, to make, have made, use, sell, offer for
sale, import and have imported the software, in each case subject to the
limitations and conditions in this license. This license does not cover any
patent claims that you cause to be infringed by modifications or additions to
the software. If you or your company make any written claim that the software
infringes or contributes to infringement of any patent, your patent license for
the software granted under these terms ends immediately. If your company makes
such a claim, your patent license ends immediately for work on behalf of your
company.

Notices

You must ensure that anyone who gets a copy of any part of the software from you
also gets a copy of these terms.

If you modify the software, you must include in any modified copies of the
software prominent notices stating that you have modified the software.

No Other Rights

These terms do not imply any licenses other than those expressly granted in
these terms.

Termination

If you use the software in violation of these terms, such use is not licensed,
and your licenses will automatically terminate. If the licensor provides you
with a notice of your violation, and you cease all violation of this license no
later than 30 days after you receive that notice, your licenses will be
reinstated retroactively. However, if you violate these terms after such
reinstatement, any additional violation of these terms will cause your licenses
to terminate automatically and permanently.

No Liability

As far as the law allows, the software comes as is, without any warranty or
condition, and the licensor will not be liable to you for any damages arising
out of these terms or the use or nature of the software, under any kind of
legal claim.

Version: 1.0 · Date: 2026-10-25

Vaultigen is licensed under the Elastic License 2.0 (see LICENSE). Shuttlework, Patrick Daether (“Licensor”) grants the following permission in addition to that license. Everything else in the Elastic License 2.0 continues to apply.

1. Permission

You may operate an installation of Vaultigen on behalf of a single third-party organization (“Client”), solely for that Client’s own internal use, including hosting it on infrastructure you control. Operating such an installation is not a “hosted or managed service” under the first limitation of the Elastic License 2.0.

2. Conditions

a) Each installation serves exactly one Client. Its accounts and invitations count toward that Client’s user limit.

b) Any license file installed in a Client’s installation must be issued to that Client.

c) This permission does not allow you to operate an installation that serves more than one organization, or to offer Vaultigen to third parties as a hosted or managed password management service.

d) This permission does not allow you to move, change, disable or circumvent the license key functionality.

3. Duration

This permission applies to every version of Vaultigen whose LICENSE file refers to it. Licensor will not withdraw it for versions already released.

Kommerzielle Lizenzbedingungen

Gelten zusätzlich zur Elastic License 2.0, wenn Sie eine Pro- oder Lifetime-Lizenz kaufen.

Version: 1.1 · Date: 2026-10-25

1. Parties and scope

1.1 These terms govern the commercial license for the Vaultigen software (“Software”) granted by Shuttlework, Patrick Daether, Berolfweg 1, 89182 Bernstadt, Germany (“Licensor”) to the organization named as licensee in the license file (“Licensee”).

1.2 Purchases are processed by Creem (creem.io) as merchant of record. The purchase contract, payment, invoicing, taxes and refund processing are governed by Creem’s Buyer Terms. The refund provisions below apply subject to Creem’s applicable terms. The right to use the Software is governed by these terms.

1.3 The Software is intended for businesses and other organizations. It is not offered to consumers within the meaning of § 13 BGB.

1.4 Without a commercial license, the Software is available under the Elastic License 2.0 as stated in the LICENSE file. Without a license file that covers the Version in use, the Software permits up to ten (10) Users; the Elastic License 2.0 prohibits circumventing this limit. These terms add rights beyond that license. They do not limit it.

2. Definitions

  • License file: the digitally signed text block issued by Licensor that names the Licensee, the edition, the user limit and the update period.
  • User: an account in the Software that is enabled to sign in, and each pending, unexpired invitation to create such an account.
  • Version: a release of the Software identified by a version number and a release date published by Licensor.
  • Update period: the period stated in the license file (“updates until”), or unlimited for the Lifetime edition.
  • Installation: one running deployment of the Software with its own database.

3. Grant of rights

3.1 Licensor grants Licensee a non-exclusive, perpetual, worldwide right to install and use for Licensee’s internal purposes every Version whose release date falls on or before the last day of the update period, with up to the number of Users stated in the license file (unlimited if none is stated).

3.2 Licensee may operate any number of Installations for its own organization, including production, staging, test and disaster-recovery Installations. User limits apply per organization, not per Installation.

3.3 Licensee may modify the Software for its own internal use. Modified versions remain subject to these terms and the LICENSE file.

3.4 Licensee may have the Software operated by a service provider (e.g. an IT service company) solely for Licensee’s own use.

3.5 The right of use does not end when the update period ends. After the update period, Licensee may continue to use every Version released within the update period without limitation. Versions released after the update period can be used only with up to ten (10) Users, as without a license file, until the update period is renewed.

4. Editions and renewals

4.1 Pro: includes an update period of one (1) year from the date of purchase.

4.2 Update renewal: extends the update period of an existing Pro license by one (1) year from the later of (a) the end of the current update period and (b) the date of the renewal purchase. Renewals are optional and are not charged automatically.

4.3 Lifetime: includes an update period without end date for as long as Licensor develops and distributes the Software (including new major versions). Lifetime licenses are an introductory offer. Licensor may limit their availability by date or quantity.

4.4 Lifetime upgrade: converts an existing Pro license into a Lifetime license, while the offer is available.

5. Restrictions

Licensee may not:

a) offer the Software to third parties as a hosted or managed service in which one Installation serves more than one organization, unless separately agreed in writing;

b) pass on, publish or sell the license file to third parties, except together with a transfer of the business that uses the Software (Section 9);

c) use a Version with more Users than the license file permits for that Version, or with more than ten (10) Users if no license file covers that Version;

d) remove or alter copyright notices, the LICENSE file, or the licensee name shown by the Software.

6. License file

6.1 Licensee must keep the license file confidential. If it is disclosed without authorization, Licensor may issue a replacement file and declare the previous one invalid for future Versions.

6.2 The Software verifies the license file offline. It does not transmit any data to Licensor.

6.3 A full refund or full chargeback ends only the commercial rights and update entitlement granted by the affected purchase. A refunded renewal or upgrade does not cancel rights from earlier purchases. Licensee must stop using any license file to exercise rights that have ended. The Software may continue to accept the file because verification is offline; technical acceptance does not preserve those rights. Independent rights under the LICENSE file remain unaffected.

6.4 The Software can be evaluated free of charge with up to ten (10) Users and every feature included, with no time limit. After delivery of a commercial license, renewal or upgrade, Licensor does not offer voluntary refunds for changes of mind. This does not limit applicable statutory rights, including remedies for defects or non-delivery, or refunds Creem may issue under its applicable terms.

7. Support and updates

7.1 Updates are made available for download during the update period. Licensor has no obligation to release updates at any particular frequency.

7.2 Support is provided by email on a best-effort basis, without guaranteed response times, unless a separate support agreement is concluded.

7.3 Security fixes are released as regular Versions. Section 3.5 applies to them: after the update period has ended, they are available to Licensee only by renewing the update period.

8. Warranty and liability

8.1 Licensor warrants that the Software substantially conforms to its documentation at the time of release. Claims for defects become time-barred after one (1) year from delivery.

8.2 Licensor is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz), and to the extent of any guarantee given.

8.3 For slight negligence, Licensor is liable only for breaches of material contractual obligations (obligations whose fulfilment makes proper performance of the contract possible in the first place and on whose observance the Licensee may regularly rely), limited to the typical, foreseeable damage. In that case liability is capped at the amount Licensee paid for the license in the twelve (12) months before the damaging event.

8.4 Licensee is responsible for operating the Software securely, for backups, and for safekeeping its encryption and backup keys. Licensor is not liable for loss of data that proper backups according to the documentation would have prevented.

9. Transfer

Licensee may transfer the license only together with the business or business unit that uses the Software, and only with written notice to Licensor. Licensor then re-issues the license file in the new licensee’s name.

10. Term and termination

10.1 The license is perpetual, subject to Section 6.3.

10.2 Licensor may terminate the license for cause if Licensee materially breaches Section 5 and does not cure the breach within thirty (30) days after written notice.

11. Final provisions

11.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

11.2 If Licensee is a merchant (Kaufmann), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is Ulm, Germany.

11.3 If any provision is invalid, the remaining provisions remain in effect.
